General Information and Acceptance of Terms

These Terms of Sale and Terms of Use govern access to and use of the Evolbot service, a SaaS platform for creating and integrating customizable AI chatbots and AI Agents. The service is provided by Evolbot di M. V., a sole proprietorship with registered office at via Carlo Ghega 3, Trieste, Italy. VAT number 01432170320. Use of the service implies full and unconditional acceptance of these terms.

Acceptance of the terms occurs through a clickwrap mechanism that requires an explicit click on "I Accept" during registration. Users must be 18 years of age or older, or if minors, use the service under the supervision of a parent or legal guardian. The service is intended exclusively for lawful uses and in compliance with the limitations specified in this document.

Evolbot is committed to responding to technical support requests within 3 business days from received requests. Official communications regarding changes to terms or contractual matters will be sent via email to addresses registered by users.

Definitions and Scope of Application

The "Service" includes the Evolbot web platform, all its customization tools, the embeddable widget, APIs and associated documentation. "User" means any natural or legal person who accesses or uses the Service. "Content" includes all data, texts, documents, configurations and prompts uploaded or generated through the platform.

Service Description and Features

Evolbot offers a comprehensive platform for creating customizable AI chatbots through various configuration methods. Users can upload documents to train the chatbot according to specific needs. The platform includes automatic crawling functionality that allows data acquisition directly from users' websites, ensuring constant updating of chatbot information.

Widget customization represents a distinctive feature of the service, allowing users to adapt the graphical interface and chatbot behavior to perfectly integrate with their website's design and visual identity. The widget can be embedded on any website through simple HTML code provided by the platform.

Prompt optimization constitutes a central element of the service, allowing users to modify and refine instructions provided to artificial intelligence to obtain more precise and relevant responses. Users maintain complete control over chatbot configuration and can supervise all interactions generated by the system.

Integration with External Services

The service supports integration with external APIs through GET and POST calls, allowing the chatbot to interact with third-party systems and expand its functionality. However, responsibility for implementation, security and management of such integrations falls entirely on the user. Evolbot assumes no responsibility for data transmitted to third-party services or for any security issues arising from such integrations.

Users are required to ensure that integrations with external services comply with all applicable data protection and privacy regulations. It is the user's responsibility to verify compliance of external APIs used and implement adequate security measures to protect transmitted data.

Usage Methods and Restrictions

Use of the Evolbot service is subject to specific limitations aimed at ensuring ethical and legal use of artificial intelligence technology. It is expressly prohibited to use the chatbot for generating or disseminating harmful content, including but not limited to offensive, discriminatory material or content that incites violence. All illegal activities are also prohibited, including fraud attempts, phishing or other forms of cybercrime.

Copyright violation represents a prohibited use of the service, therefore users cannot use copyrighted material without necessary authorizations. Any attempt to circumvent security measures implemented in the platform or to use the service to promote harmful behavior towards third parties is also prohibited.

Adult content and pornography are expressly prohibited throughout the platform. Users who violate such restrictions will be subject to immediate account suspension without possibility of refund. All other uses not explicitly prohibited are considered permitted, provided they comply with current regulations and principles of good faith.

Supervision and User Responsibility

Users maintain full responsibility for content configured and generated by their chatbot, including all interactions with end users. It is possible to supervise all chatbot conversations and interactions through the administration interface provided by the platform. Users are required to regularly monitor their chatbot's activity to ensure compliance with these conditions.

User responsibility extends to the use made of the chatbot by third parties on their website or platform. Users must implement appropriate moderation and control measures to prevent improper use of the service by visitors or customers.

Intellectual Property and Content Rights

All intellectual property rights related to Evolbot software, including source code, algorithms, interfaces and documentation, are and remain the exclusive property of Evolbot di M. V. Any attempt at reverse engineering, decompilation or extraction of the platform's source code is prohibited.

Users retain all rights to content they upload or generate through the service, including documents, configurations, custom prompts and training data. Evolbot explicitly commits to never using user content to train artificial intelligence models or for any other purpose different from providing the requested service.

User data remains their exclusive property and can be exported or deleted at any time through functionalities provided by the platform. Evolbot claims no rights to content generated by users' chatbots and does not interfere with commercial or personal use that users make of their chatbots.

Service Usage License

Use of the Evolbot service is granted through a non-exclusive, non-transferable and revocable license, limited to the duration of the active subscription. Users may use the service exclusively for their legitimate purposes and in compliance with these conditions. It is prohibited to sublicense, sell or transfer service access to third parties without explicit written authorization.

Payment Terms and Commercial Policies

The Evolbot service adopts a plan-based pricing model consultable in the dedicated section of the website. Payments are processed exclusively via credit card through the Stripe platform, ensuring security standards compliant with PCI DSS standards. Charges are made according to the selected plan's periodicity and are subject to automatic renewal unless canceled.

Prices are expressed in euros and include all applicable taxes according to Italian regulations. Any changes to plan prices will be communicated to users with at least 30 days' notice via email. Users have the possibility to modify or cancel their plan at any time through the platform's personal area.

In case of non-payment, the service will be automatically suspended until payment status is restored. During the suspension period, user data is maintained for a period of 30 days, after which it may be permanently deleted.

Refund Policy and Right of Withdrawal

Evolbot offers a full refund policy within 14 days of purchasing any paid plan, in accordance with the right of withdrawal provided by the Italian Consumer Code. Refund can be requested through customer support service without the need to provide specific reasons. Refund will be processed using the same payment method used for the original purchase within 14 days of the request.

After the 14-day period, refunds may be granted exclusively in exceptional cases, such as prolonged service malfunctions not resolved within reasonable times or contractual violations by Evolbot. Refund requests beyond the standard period will be evaluated case by case by the support team.

Liability Limitations and Warranties

Evolbot di M. V. assumes no responsibility for direct, indirect, incidental or consequential damages arising from improper use of the service or violation of these conditions by users. Evolbot's liability is limited to the value of the subscription paid by the user in the last billing period.

The service is provided "as is" without explicit or implicit warranties of any kind, except for minimum warranties provided by Italian law for digital services. Evolbot does not guarantee that the service will be free from interruptions, errors or security vulnerabilities, while committing to maintaining high standards of reliability and security.

Users acknowledge that artificial intelligence may produce unexpected or inaccurate results and assume full responsibility for verification and validation of content generated by their chatbots. Evolbot is not responsible for commercial or personal decisions made based on content generated by artificial intelligence.

Indemnification and Limitations

Users agree to hold Evolbot harmless from any claim, damage or expense arising from use of the service in violation of these conditions or applicable regulations. This clause includes but is not limited to claims for intellectual property violation, defamation or damages caused by improper use of chatbots.

Changes to Terms and Communications

Changes to these Terms of Sale and Terms of Use will be notified to users via email to the address registered in the account. Users will have 30 days to accept the changes or cancel their account if they do not intend to accept the new terms. Continued use of the service beyond such period implies automatic acceptance of the changes.

Official communications will occur exclusively through channels indicated in these conditions. Evolbot assumes no responsibility for communications sent to outdated or no longer active email addresses. Users are required to keep their contact information updated in the service's personal area.

Substantial changes that significantly affect user rights will be communicated with greater notice and may require new explicit acceptance of updated terms.

Dispute Resolution and Applicable Law

All disputes arising from this contract are subject to Italian law, as Evolbot di M. V. has its registered office in Italy. The competent court for any dispute is the Court of Trieste, location of the seller's registered office, unless otherwise provided by law in favor of the consumer.

Before resorting to judicial litigation, the parties commit to attempting an amicable resolution of the dispute through Evolbot's customer support service. In case of no agreement, consumers can access alternative dispute resolution procedures provided by European ODR (Online Dispute Resolution) regulations.

These conditions constitute the complete agreement between the parties and replace any previous agreement or communication relating to the contract subject. Any modifications or derogations must be agreed in writing and explicitly accepted by both parties.

Conclusions

These Terms of Sale and Terms of Use come into effect upon acceptance by the user and remain valid for the entire duration of Evolbot service use.
